XTransfer用户条款与条件
1.本协议范围及阅读原因
在开始使用我们的服务之前,请仔细阅读本协议。本协议(始终与其中引用的文件在一起)会告知您我们是谁,我们将如何向您提供服务,如何变更或终止本协议,如果出现问题应该怎么做以及其他重要信息。
本协议中的各项条款最初是用英文书写的。我们会将这些条款翻译成其他语言。如果这些条款的翻译版本与英语版本之间发生冲突,应以英语版本为准。
使用我们的服务即表示您确认接受并同意遵守本协议。如果不同意,您将不能使用我们的服务。
我们建议您打印一份本协议的副本以供参考。您可以在我们的网站上查看最新版本。
本协议中引用了以下附加文件,这些文件在您使用我们服务的过程中也同样适用:
  • 我们的隐私与安全政策,其中规定了我们从您处收集、或者您提供给我们的任何个人数据进行处理的相关条款。使用我们的服务即表示您同意进行相关收集、使用、披露和处理,并且保证您提供的所有数据真实准确。该政策同时也就我们网站上关于“cookies”的信息及使用做了相关规定;
  • 根据您选择使用的服务,可能还适用其他附加的条款和条件。在您开始使用这些服务之前,我们将向您告知这些条款和条件。
定义
  • 协议 是指本协议中的条款和条件,包括任何引用文件或附件。
  • 营业日 是指除了周六、周日或香港公众假日以外的,香港金融机构开门营业的任意一天。
  • 费用 是指您为了使用我们的服务应当向XTransfer支付的费用。
  • 资金 是指XTransfer或其服务提供商在提供XTransfer服务期间代您收到的资金。
  • 服务 是指XTransfer(包括其相关网站和服务)提供的所有产品、服务、内容、特性、技术或功能。
  • 服务提供者 是指在提供XTransfer服务的过程中,XTransfer使用的银行、支付服务提供商、清算网络和其他第三方支付处理服务提供商。
  • 交易 是指涉及XTransfer服务的实际或尝试进行的支付交易。
  • 用户银行账户 是指您向XTransfer提供的您的收款人账户,用于结算您XTrasnfer账户中的资金。
  • 网站 是指我们向您提供服务的任何网址,包括但不限于www.xtransfer.cn。
  • XTransfer 是指XTransfer Group,由XTransfer Limited(这是一家香港公司)以及其所有的子公司或相关公司组成,包括XTransfer UK Limited(这是一家英国公司)。
  • XTransfer账户 是指XTransfer为您提供服务时建立的唯一账户,用于注册和持续使用XTransfer服务,它并不构成一个银行账户。该XTransfer账户包括客户信息、交易记录以及与该客户使用XTransfer服务相关的其他信息。
  • XTransfer证书 是指XTransfer分配给您的虚拟银行账号,您的客户可以向该账号转入资金。
2.关于XTransfer
XTransfer Group,由XTransfer Limited(这是一家香港公司)以及其所有的子公司或相关公司组成,包括XTransfer UK Limited(这是一家英国公司)。XTransfer Limited是一家由香港海关关长许可的金钱服务运营商(许可证号:17-10-02216)。
3.适用法律
本协议受香港法律管辖。您与我们之间关于您XTransfer账户和/或本协议引起的任何争议将提交到香港法院。
4.XTransfer注册
a)创建您的账户
所需信息
在我们向您提供XTransfer证书前,需要您向XTransfer提供开立XTransfer账户需要的所有信息。
您承认法律要求我们对您进行所有必要的安全和客户尽职调查,以便为您提供服务。您可能需要提供额外信息(以我们可以接受的格式),以便我们验证您的身份,这也是为您开立XTransfer账户、处理您的支付订单或向您提供服务的前提条件。您授权我们能不时获得一份或多份您的信用报告,以建立、更新、延展您的XTransfer账户,或处理与本协议相关的争议和/或您XTransfer账户下的活动。
我们有权要求您提供额外信息,包括但不限于注册XTransfer账户的企业的股东和/或首席执行官(或同等)的信息。您同意在您的XTransfer账户中对这些信息保持更新。当您公司的所有权或管理层发生变更时,您必须通过登录您的XTransfer账户并进行相应信息的更新来及时让我们知晓。我们可能会直接或通过任何第三方进行我们认为必要的任何查询,以证实您向我们提供的信息的真实性和准确性,包括使用保密方式检查商业数据库或信用报告。
出于法律原因,您在注册过程中或之后的任何时间提供的所有信息必须是完整、准确和真实的。如果这些信息发生变更,您必须对其进行更新。您可以登录您的XTransfer账户来更新您的资料或信息。我们在任何时候都可以出于某个原因向任何人或实体拒绝提供或停止服务。
开户
您将只能开立一个XTransfer账户,除非我们明确批准您开立额外账户。XTransfer可以拒绝为同一用户创建重复账户。如果检测到重复账户,XTransfer可以对这些重复账户进行关闭或合并,且无需向您发出通知。
作为注册程序的一部分,您将需要接受这些条款和条件、我们的隐私与安全政策以及可能包含在注册过程中的其他XTransfer政策。如果您代表一家企业或商业实体注册了XTransfer服务,您必须获得该实体的合法授权并向XTransfer提供相关文件和/或根据适用法律同意这些条款和条件。XTransfer有权拒绝开立或更新XTransfer账户,我们也保留在任何时候自行决定终止或限制您的XTransfer账户的权利。
您将能在您的XTransfer账户中看到关于您的付入款项、费用、促销和结算交易等的相关信息。我们建议我们的客户定期检查这些信息,如有任何差异或任何问题需要澄清和报告时尽快联系XTransfer客服。
b)注册XTransfer的资格
作为被授权的个人,您确认自己有权代表企业或公司来使用我们的网站或服务,并且该企业或公司也接受这些条款。我们要求您提供相应的证明,例如授权书。
客户必须年满18岁才能使用我们的服务。如需开立XTransfer账户,必须根据我们的要求提供您的年龄证明。
您必须在XTransfer保持良好信誉,才能使用XTransfer的服务。
c)您的责任
管理您的账户
您必须确保记录在您XTransfer账户上的信息始终是准确和最新的,否则,我们将不会为由此导致的任何损失承担责任。我们可以在任何时候要求您确认您信息的准确性或提供文件或其他证明。
我们可以通过您注册的电子邮件或其他方式与您联系,告知您与XTransfer账户相关的信息或通知。如果您没有维护或检查自己的电子邮件或其他通信方式,可能会错过关于您的交易和我们的服务的电子邮件和/或其他通信内容。由此产生的任何结果或损失,我们不承担任何责任。
保证您的账户安全
我们已经采用了商业上合理的管理和技术程序和手段,以保护您的个人信息免受意外损失和未经授权的访问、使用或披露。但我们不能保证未经授权的第三方将永远无法击败这些措施或将这些个人信息用于不正当的目的。
您使用的额外XTransfer产品或服务可能会有额外的安全要求,您必须熟悉我们告知您的相关要求。
请切勿向任何第三方披露您的XTransfer账户密码或您的客户参考号。请保证它们的安全并定期更新您的密码。我们绝不会要求您向我们或第三方提供您的密码。如果有任何人询问您的密码,请告知我们,如果您有不确定的情况,请联系service@xtransfer.cn。如果您需要额外的支持,请联系我们。切勿让任何人登录您的XTransfer账户或者看到您登录XTransfer账户。
如果您怀疑自己的XTransfer账户、登录详细信息、密码或其他安全特性被盗、丢失、被未经授权使用或盗用,我们建议您更改密码。我们需要您定期检查自己的XTransfer账户的交易记录。如果发生任何未授权、错误或不正确的交易,或怀疑您的XTransfer账户被盗用时,请立即联系 service@xtransfer.cn。任何不当的延迟通知不仅会影响您XTransfer账户的安全性,您还需要对财务损失负责。
5.XTransfer服务
a)服务范围
XTransfer提供‘支付托收’服务,即XTransfer将代表您从付款人那里接收资金。您XTransfer账户中的所收到的资金应当结算至您的用户银行账户。
XTransfer服务可能包括以下部分或全部服务,这些服务可能会不时发生变化:
  • 通过XTransfer服务从您的买方那里接收付款;
  • 就您XTransfer账户中所收的款项提供货币兑换服务;
  • 使用选择的货币将您XTransfer账户中的资金结算至您的用户银行账户;
  • 您可以在XTransfer网站上通过您的XTransfer账户查看和管理交易活动;
  • XTransfer不时提供的任何额外服务。
您需要一个XTransfer账户以使用我们的服务。当您注册账户时,即表示同意向我们提供完整准确的信息。XTransfer服务旨在进行商业活动的付款,并非用于个人用途。您不得向第三方转让或转移您使用XTransfer的权利,或者向任何第三方授予您使用XTransfer服务相关的合法或公平权益。
XTransfer不作为代表您的受托人、托管人或托管持有者。XTransfer对您企业的任何产品或任何其他部分均不承担责任。您对您的产品、客户承担专属责任,并且应当保护XTransfer免受他们针对XTransfer提出的任何索赔。
XTransfer账户不是银行账户。您的XTransfer账户中的资金不会产生利息。接受这些条款和条件即表示您承认XTransfer被授权保留XTransfer账户中持有的任何资金总额产生的任何利息。
您全权负责向所有适用的政府税务机关报告所有适用于您收到的所有资金的任何适用税款。
我们保留随时终止您XTransfer账户或服务的权利。您也可以随时取消您的XTransfer服务,但需提前30天通知到XTransfer。严禁使用XTransfer服务进行任何非法目的的活动,包括但不限于欺诈和洗钱。严禁在使用XTransfer服务时有任何滥用、利用或规避法律法规的尝试或行为。
资金保障
资金是您的财产。除了注册用户以外,任何人或实体均没有与资金相关的任何权利。
XTransfer已经采用了商业上合理的管理和技术程序或手段,以保护和保障您的资金安全。
根据不同司法管辖地的法律和法规,适用法律可以要求XTransfer对客户的资金采取保障措施,例如将您的资金存入一个独立账户。
b)通过XTransfer服务接收付款
获得您的XTransfer证书
XTransfer服务使您可以从您的买方那里接收资金。在申请XTransfer证书后,您可获得通过XTransfer服务接收资金的必需信息。您可以向您的客户提供XTransfer证书的相关信息,以此通过XTransfer服务接收您的客户的付款。
请注意,XTransfer依赖包括银行在内的服务提供商向您提供服务。您同意避免与任何涉及支持XTransfer服务的银行进行任何直接联系。如果您关于XTransfer服务与银行或其他提供商进行任何直接联系,我们会立即终止为您提供XTransfer服务。
拒绝款项入账
XTransfer服务将按照您在XTransfer账户中设置的货币接收资金。我们保留在任何时间拒绝部分或全部款项入账的权利。拒绝款项入账的原因包括但不限于违背相关法规或XTransfer合规政策。如拒绝付款,XTransfer无任何义务披露拒绝的原因。
资金到账通知
付入款项到达XTransfer的时间不受XTransfer的控制。XTransfer应尽最大商业努力,通知您付入款项已到达您的XTransfer账户。XTransfer不保证这些信息的准确性、完整性或及时性。
资金申领
在您提交结算资金至您的用户银行账户的申请之前,您必须向XTransfer提供交易合同或形式发票的副本对所收资金进行申领。
c)结算资金至您的用户银行账户
用户银行账户的预先批准
为了将您的资金结算到您的用户银行账户,您必须登录您的XTransfer账户并提交资金结算的申请。在从您的XTransfer账户向您的用户银行账户进行结算之前,我们需要您提供用户银行账户的详细信息。我们有能力确保您始终在开户金融机构拥有良好信誉。
为了获得资金,您必须拥有一个XTransfer预先批准的用户银行账户。您不得请求向未经预先批准的任何银行账户进行结算。
XTransfer服务不支持个人与个人转账或第三方转账功能,您只能在您的用户银行账户接收资金。
资金结算
您XTransfer账户中收到的资金应结算至您的用户银行账户。在某些条件下,XTransfer可能会允许资金被结算至您的相关或代理银行账户上。XTransfer有权接受或拒绝将资金支付到某些结算账户上。XTransfer保留从您进行结算的资金中扣除您欠XTransfer款项的权利,包括但不限于本协议项下的所有应付费用。
根据可用性,资金可以不同币种进行结算。如果您希望以不同货币结算,可以在资金结算到您的用户银行账户之前选择可用的币种。在结算后,不能使用XTransfer进行外汇兑换。
如XTransfer或其服务提供者之一确定结算违反适用法律或使XTransfer或我们的服务提供商处于过高的安全、财务或信誉风险中,我们将会暂时扣留您的资金。根据适用法律的要求,相关资金也可能会被没收。
您必须确保您的用户银行账户信息是正确和准确的。如果由于您提供了错误的银行账户信息导致我们将资金发送到了错误的银行账户,我们对此将不承担责任。如果XTransfer收到了不准确的付款信息并导致付款之后被拒收,XTransfer会向您收取相关费用,我们可以从您的资金中扣除该费用。如果进行了任何错误或误导付款,我们将采取合理措施帮助您进行追踪,并且在合理可行的情况下追回这些付款,但我们不对无法追回的任何付款承担责任。
为了完成结算,XTransfer会依赖第三方银行或与我们签有支付协议的同业或本地支付提供商,这些机构在各自的司法管辖区内受到监管并且遵守当地法律。
结算时间不受XTransfer的控制,可能需要二到十五(2-15)个营业日。XTransfer对结算所需时间不提供任何保证。
我们会执行验证检查,且这些检查可能会延长您结算的处理时间。由于执行这些检查,我们将无法对任何延误负责。
XTransfer将按照您选择的金额并减去任何适用费用后向您的用户银行账户发起结算。您的银行收取的任何费用将不属于XTransfer的责任。除非结算错误/未完成,否则结算到您用户银行账户上的资金将不会退回至XTransfer。
d)访问我们的服务
我们将尽力确保在您需要时向您提供服务。但我们不能保证我们的服务始终可用或无中断。我们会暂停、撤销、中止或更改我们的所有或部分服务,恕不提前通知。您有责任对访问我们的服务进行所有必要的安排。
按现状”提供XTransfer服务。XTransfer及其服务提供商在此放弃任何形式的明示或暗示保证,包括但不限于关于适销性、适用于特定目的和非侵权的保证。XTransfer或其服务提供商均未保证我们的服务不会出现错误,或者访问将是连续或无中断的。您已了解,且在您自行决定并承担风险的情况下使用我们的服务或获得相关内容。
6.终止/暂停
a)您终止服务的权利:
您可以在任何时候提前30天通过注册电子邮件联系service@xtransfer.cn,通知我们您将终止使用XTransfer账户的服务。
本协议所有根据其性质在终止时应当存续的条款在协议终止后应继续有效,包括但不限于所有权条款、保证免责声明、赔偿和责任限制。
b)XTransfer提出终止/暂停服务:
我们保留终止您XTransfer账户或任何相关服务的权利。
如果发生以下情况,我们可随时暂停或终止您的XTransfer账户并且无需发出通知:
  • i) 您违反了本协议或本协议引用文件的任何条款;
  • ii) 我们有理由相信您违反了任何适用法律或法规;
  • iii) 法律、政府主管部门、公共机构或执法机构要求或指示我们这么做;
  • iv) 我们有理由相信您参与了任何欺诈活动、洗钱、恐怖主义融资或其他犯罪和/或非法活动。
  • v) 我们相信您的XTransfer账户已被盗用或出于其他安全原因;或者我们怀疑在没有得到您授权的情况下或以欺诈方式使用了或正在使用您的XTransfer账户。
严禁将XTransfer服务用于任何非法目的,包括但不限于欺诈、贿赂、洗钱或恐怖主义融资。严禁在使用XTransfer服务时有任何滥用、利用或规避法律法规的尝试或行为。
7.费用
XTransfer在XTransfer网站上公布了价格,并通过您的XTransfer账户向您发出通知。XTransfer可以自行决定不时修改对XTransfer服务收取的费用。XTransfer服务也可以通过退款、折扣或奖金形式提供促销。如果您有任何问题或对费用有任何疑惑,请通过service@xtransfer.cn联系XTransfer客服。
在向您的用户银行账户结算之前,将扣除适用费用。XTransfer将提供收取费用的清单。
8.投诉/争议
a)投诉
如果您对我们或我们的服务有任何投诉,可以发送电子邮件至service@xtransfer.cn与我们联系。
我们将尽最大努力及时处理您提交到service@xtransfer.cn的投诉。
b)争议
如果发生争议并导致法律诉讼,所有法律诉讼将被提交至香港法院。
9.我们的责任限制
如果我们未合理履行对您的承诺,我们将对您遭受的损失或损害负责。但是我们对无法预见的任何损失或损害不承担任何责任。
我们不会在以任何非法方式排除或限制我们对您的责任,例如欺诈性误述。
a)IT和基础设施
因病毒或其他技术攻击或有害物质引起您的计算机设备、计算机程序、数据或其他与您使用我们服务有关的专有材料的感染,并导致您面临损失或损害的,我们将不负任何责任。
我们无法控制链接到我们网站的其他网站,因此我们对它们的内容以及由于您使用它们导致的任何损失或损害不承担任何责任。
如果由于我们的错误导致发生未授权的结算或错误,我们将根据您的要求进行退款,包括我们扣除的所有费用。本条款不适用于:
  • i) 如果您未及时通知我们关于您XTransfer账户(如密码丢失)的安全问题,在您通过我们网站发布的紧急联络电话通知我们之前期间出现的损失,将由您自己负责。
  • ii) 如果由于您的故意或重大过失导致您XTransfer的账户安全受到威胁,从而导致交易未经授权;或者由于您未能根据协议规定个性化设定安全特性以保护您的XTransfer账户,从而导致未经授权的结算。在这些情况下,您将自行承担所有损失,除非各个司法管辖地的适用法律/法规另有规定。
  • iii) 如果在您发送结算请求之日起的6个月内没有向我们告知未经授权或错误的已完成交易。
如您在通过紧急联络电话通知我们后发出结算申请,则上述第(i)条将不适用。在该情况下,我们仍将对任何未经授权的交易承担责任并向您进行赔偿。
此外,我们需要您定期检查您XTransfer账户的交易记录,如果有任何问题或疑问,请立即联系客服。
如果发生任何错误或误导结算,我们将尽力帮助您跟踪和追回这些结算。如果事情在我们的控制范围以外,我们(和我们的关联公司)将不会对无法或延迟追回承担责任。
因您违反本协议、任何适用法律或法规和/或使用我们的服务而导致的损失或索赔或成本和费用,您同意对我们和我们的关联公司进行赔偿并保护我们不受损害。在双方关系终止后本条款仍将继续有效。
b)相关合作伙伴
XTransfer将不对任何第三方服务提供商导致的损失或损害承担责任。
10.赔偿
您同意赔偿并使XTransfer和其服务提供商及他们各自的董事、高管、员工和代理不承担任何索赔和费用,包括由于您使用XTransfer服务导致的律师费,包括但不限于您违反本协议的情况。
11.隐私
我们收集个人信息的主要目的是为您提供安全、顺畅、高效和定制的体验。
我们和我们的第三方服务提供商会通过cookies、网络信标和其他技术自动收集您使用我们的网站和在线服务的信息。
当您使用我们的服务时,我们可能会收集并存储您提供给我们的任何信息,包括您在网页表单中添加的信息、添加或更新您账户时的信息、参与争议解决,或者关于我们服务以及与我们通信时的信息。
在开设XTransfer账户时,我们需要获得您的同意,我们可能会与第三方分享您的信息,包括服务提供商、被监管机构(如金融机构)、附属实体以及合作伙伴。
如需了解详细信息,请参阅隐私及安全政策。
12.变更/修改
我们可以通过您的注册电子邮件提前30天向您发送书面通知并在我们的网站上进行发布的形式变更本协议。如果我们这样做,您可以在通知期内向我们发出书面通知立即终止本协议。如果我们在通知期内未收到您的通知,将视您接受了拟议变更,并且将从变更生效之日起对您适用。
如果您不同意我们的变更,在指定通知期后您将不得继续使用XTransfer服务。如果您继续使用我们的服务将会受到新条款的约束。但在变更前发生的任何争议都将受到变更时有效的条款的约束。
本协议的变更如(1)将对您更有利;(2)适用法律要求;或(3)将对现有服务增加一项新服务或额外功能;或(4)将不会减少您的权利或增加您的责任时, 凡在变更通知中说明的,都将立即生效。
XTransfer User Terms and Conditions
1.Scope of this agreement and why you should read it
Please read this Agreement carefully before you start to use our Services. This Agreement (always together with the documents referred to in it) tells you who we are, how we will provide the Services to you, how this Agreement may be changed or ended, what to do if there is a problem and other important information.
These Terms and Conditions were originally written in English. We may translate these terms into other languages. In the event of a conflict between a translated version of these Terms and Conditions and the English version, the English version will prevail.
By using our Services, you confirm that you accept and agree to follow this Agreement. If you do not agree, you must not use our Services.
We recommend that you print a copy of this Agreement for future reference. You can always view the most current version on our Website.
This Agreement refers to the following additional documents, which also apply to your use of our Services:
  • Our Privacy and Security Policy, which sets out the terms on which we process any personal data we collect about you, or that you provide to us. By using our Services, you consent to such collection, use, disclosure, and processing, and you warrant that all data provided by you is accurate. The policy also sets out information about the ‘cookies’ on our Website.
  • Depending on the Services you choose to use with us, additional terms and conditions may apply, as communicated to you before you start using such services.
Definition
  • Agreement means the terms and conditions herein, in addition to any referenced documents or attachments.
  • Business Day means a day other than a Saturday, Sunday or a public holiday in Hong Kong when financial institutions in Hong Kong are open for business.
  • Fees means charges payable to XTransfer from you for our services.
  • Funds means funds received on your behalf by XTransfer or its Service Providers in the course of supplying the XTransfer Services.
  • Services means all products, services, content, features, technologies or functions offered by XTransfer and all related websites and services (including the Website).
  • Service Providers means banks, payment service providers, clearing networks and other third party payment processing services used by XTransfer in the course of supplying the XTransfer Services.
  • Transactions means an actual or attempted payment transaction that involves XTransfer Services.
  • User Bank Account means your beneficiary bank account you provide to XTransfer into which the funds in your XTrasnfer Account will be settled.
  • Website means any URL, including but not limited to www.xtransfer.cn, where we provide the Services to you.
  • XTransfer means XTransfer Group, consisting of XTransfer Limited, a Hong Kong corporation, and XTransfer UK Limited, a UK corporation, along with all its subsidiaries or related companies.
  • XTransfer Account means a unique account within the XTransfer established for you to register for, and enable the ongoing use of, the Services and does not constitute a bank account. Such XTransfer Account includes customer information, transaction history and other information related to such customer's use of the services.
  • XTransfer Credentials means the virtual bank account number(s) XTransfer assign to you into which your clients could send the funds.
2.About XTransfer
XTransfer Group consists of XTransfer Limited, a Hong Kong corporation, and XTransfer UK Limited, a UK corporation, along with all its subsidiaries or related companies. XTransfer Limited is a Money Service Operator authorized by the Commissioner of Customs and Excise, HK (license No: 17-10-02216).
3.Applicable Law
This Agreement is governed by the law of Hong Kong. Any dispute between you and us in connection with your XTransfer Account and/or this Agreement may be brought to the courts of Hong Kong.
4.Register with XTransfer
a)Create your account
Information required
We require that you provide XTransfer with all information required to open an XTransfer Account before we provide you with XTransfer Credentials.
You acknowledge that we are required by law to carry out all necessary security and customer due diligence checks on you in order to provide the Services to you. You may need to provide additional information (in a format acceptable to us) so we can verify your identity as a condition of opening your XTransfer Account, processing your payment order, or providing our Services to you. You authorise us to obtain one or more of your credit reports, from time to time, to establish, update, or renew your XTransfer Account with us, or in the event of a dispute relating to this Agreement and/or activity under your XTransfer Account.
We have the right to request additional information including, but not limited to, information on shareholders and/or CEO (or equivalent) of the business registering for an Xtranfer Account. You agree to keep such information up-to-date in your XTransfer Account. You have to advise XTransfer any change in the ownership or management of the firm by logon to your XTransfer Account to update the profile. We may make, directly or through any third party, any inquiries we consider necessary to validate information that you provide to us, including checking commercial databases or credit reports, using confidential means.
For legal reasons, all information you provide during the signup process or any time thereafter must be complete, accurate and truthful. You must update this information whenever it changes. You can logon your XTransfer Account to update your own profile and/or information. We may refuse to provide, or discontinue, the Services to any person or entity at any time for a reason.
Account opening
You may only open one XTransfer Account unless we explicitly approve the opening of additional accounts. XTransfer may refuse the creation of duplicate accounts for the same user. Where duplicate accounts are detected, XTransfer may close or merge these duplicate accounts without notification to you.
As part of the registration process, you will need to accept these Terms and Conditions, our Privacy and Security Policy and other XTransfer policies that may be included in the registration process. If you register for the XTransfer Services on behalf of a business or commercial entity, you must be legally authorized by the entity with related documents provided to XTransfer and/or under applicable law to agree to these terms and conditions. XTransfer holds the right to decline the opening or updating of an XTransfer Account and we also reserve the right to terminate or limit your XTransfer account at any point, in our sole discretion.
You will be able to see information regarding your Inbound Payments, fees, promotions and settlement transactions in your XTransfer Account. We advise our customers to check this information regularly and report any discrepancies or clarify any questions you have as soon as possible by contacting XTransfer customer support.
b)Eligibility
As the authorized individual, you confirm that you have authority to bind any business or corporation on whose behalf you use our Website or Services, and that business or corporation accepts these terms. We’ll require you to provide corresponding evidence, i.e. authorization letter.
you must be 18 years or older to use our Services, and by opening an XTransfer Account you have to provide the evidence of your age at our request.
You must be in good standing with XTransfer in order to use XTransfer Services.
c)Your responsibilities
Managing your account
You must ensure that the information recorded on your XTransfer Account is always accurate and up to date, and we shall not be liable for any loss arising out of your failure to do so. We may ask you at any time to confirm the accuracy of your information or to provide documents or other evidence.
We may contact you by your registered email or in other ways with information or notices regarding your XTransfer Account. If you don't maintain or check your email and other methods of communications, you may miss emails and/or other communications about your transactions and our Services. We shall not be liable for any consequence or loss arising from this.
Keep your account safe
We have implemented commercially reasonable administrative and technical procedures to protect your personal information from accidental loss and from unauthorized access, use or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to defeat those measures or use such personal information for improper purposes.
Additional XTransfer products or services you use may have additional security requirements and you must familiarise yourself with those as notified to you.
Never disclose your XTransfer Account password or your customer reference number to any third party. Keep them safe. Change your password regularly. We will never ask you to provide your password to us or to a third party. Tell us if anyone asks for your password and contact service@xtransfer.cn if you are not sure. Contact us if you need additional support. You must never let anyone access your XTransfer Account or watch you access it.
If you suspect your XTransfer Account, login details, password or other security feature is stolen, lost, used without authorisation or otherwise compromised, you are advised to change your password. We rely on you to regularly check the transactions history of your XTransfer Account. Contact service@xtransfer.cn immediately in case of any unauthorised, incorrect, or misdirected transaction, or when you suspect that your XTransfer Account has been compromised. Any undue delay in notifying us may not only affect the security of your XTransfer Account but may result in you being responsible for financial losses.
5.XTransfer Services
a)Service Scope
XTransfer provides ‘payment collection’ service to receive the funds from payer on behalf of you.
Funds receiver in your XTransfer Account shall be settled to your User Bank Account.
The XTransfer Services may include some or all of the following services, which may change from time to time:
  • Receive payments from your buyers through XTransfer Services;
  • Currency conversion of funds received in your XTransfer Account;
  • Settle funds in your XTransfer Account to your User Bank Account, in currency selected;
  • You can view and manage Transaction activity online through your XTransfer Account on the XTransfer website;
  • Any additional services that are made available by XTransfer from time to time.
Use of our Services requires an XTransfer Account. You agree to provide us with complete and accurate information when you register for an account. The XTransfer Services are intended to enable payments for commercial activities and are not intended for personal use. You may not assign or transfer your right to utilize the XTransfer Services to a third party or otherwise grant any third party a legal or equitable interest in connection with your use of the XTransfer Services.
XTransfer does not act as a fiduciary, trustee or escrow holder on your behalf. XTransfer assumes no liability to or in respect of any Product or any other part of your business. You assume exclusive responsibility for your product, clients, and shall indemnify and hold XTransfer harmless from any claim by any of them against XTransfer.
The XTransfer Account is not a bank account. Funds held in your XTransfer Account shall not bear interest. By accepting these Terms and Conditions you acknowledge that XTransfer is authorized to retain any interest that arises with respect to the sum of any Funds held in XTransfer Account.
You are solely responsible for reporting to all applicable government tax authorities all Funds received of any applicable taxes that apply to such Funds.
We reserve the right to terminate your XTransfer Account or Service at any time and you may cancel your XTransfer Service at any time by giving us 30 days’ notice. It is strictly forbidden to use the XTransfer Service for any illegal purposes including, but not limited to, fraud and money laundering. You are prohibited from using the XTransfer Service in any attempt to abuse, exploit, or circumvent any law or regulation.
Safeguarding
Funds are your property. No person or entity other than such registered user has any rights in relation to Funds.
XTransfer has implemented commercially reasonable administrative and technical measures to protect and safeguard the fund. According to laws and regulations in different jurisdictions, XTransfer could be required by applicable law to apply safeguarding measures on customer funds by putting your funds in a segregated account.
b)Receiving Payments via XTransfer Services
Get your XTransfer Credential
XTransfer Service enables you to receive Funds from your buyers. Upon applying for XTransfer Service Credentials, you will be provided with the information you need to receive funds through XTransfer Services. You will provide your XTransfer Credentials to your clients from whom you wish to receive payments through the XTransfer Service.
Please note XTransfer relies on service providers including banks to carry out the services we provide to you. You agree to avoid any direct communication with any bank that is involved supporting the XTransfer Service. Any direct contact with a bank or other provider regarding the XTransfer Service may result in immediate termination of your use of the XTransfer Service.
Reject Incoming Payment
XTransfer Service will only accept funds received in the currencies you set up in your XTransfer Account. We reserve the right to reject partial or full payments at any time. Payments may be rejected for any reason, including but not limited to reasons relating to compliance with related regulations or XTransfer’s compliance policies. When rejecting a payment, XTransfer will be under no obligation to disclose the reason for the rejection.
Notification of Funds Arrival
The time it takes for Inbound Payments to reach XTransfer is not in XTransfer's control. XTransfer shall use commercially reasonable efforts to inform you of inbound payments of Funds into your XTransfer Account. XTransfer offers no guarantee that such information will be accurate, complete or timely.
Claim Funds
You must provide XTransfer with a copy of the trade contract or proforma invoice to claim the funds, before you can request a settlement of the funds to your User Bank Account.
c)Settlement to Your User Bank Account
Pre-Approval of your User Bank Account
In order to complete settlement of your Funds to your User Bank Account, you must logon to your XTransfer Account and request a fund settlement. Before executing a settlement from your XTransfer Account to your User Bank Account, we require you to provide the bank account details. We hold the ability to ensure you are in good standing with the account-holding financial institution from time to time.
In order to receive funds, you must have a User Bank Account that has been pre-approved by XTransfer. You must not request settlement to any Bank Account that is not pre-approved.
The XTransfer Service has no peer-to-peer or third party transmission functionality and you may receive Funds in only one place, your User Bank Account.
Funds Settlement
Funds received in your XTransfer Account shall be settled to your User Bank Account. Under certain conditions, XTransfer may allow funds to be settled to your associated or agency bank account. XTransfer has the right to accept or reject funds paying to certain settlement accounts. XTransfer reserves the right to offset from any settlement to you any funds owed to XTransfer by you, including, but not limited to, all fees payable under this agreement.
Funds can be settled in different currencies, subject to availability. If you wish to settle in different currencies, you must select the currency before the fund to be settled into your User Bank Account. XTransfer cannot be used for FX exchange after the settlement.
Funds may be temporarily withheld in the event when XTransfer or one of its Service Providers determines that settlement would violate applicable laws or place XTransfer or our Service Providers in excessive security, financial, or reputational risk. Funds may be forfeited as per the requirements of applicable laws.
You must ensure that your User Bank Account information is correct and accurate. We cannot be held responsible for Funds being sent to the wrong bank account as a result of you providing incorrect payment details. In the event when XTransfer receives inaccurate payment information which is later rejected, you may be charged fees which we can deduct from your fund. In case of any incorrect or misdirected payment, we shall take reasonable measures to assist you with tracing and, if reasonably possible, recovering such payments, but we shall not be liable for any payments that cannot be recovered.
XTransfer may rely on third party banking counterparts or on local payment providers with whom we have payment arrangements and who are regulated in respective jurisdictions and comply with the local laws in order to complete settlement.
The time it takes for settlement is not in XTransfer's control and it could take two to fifteen (2-15) business days. XTransfer offers no guarantee on the time settlement takes.
We carry out verification checks, and these checks may increase the time it takes to process your payment order. We cannot be responsible for any delays as a result of carrying out those checks.
XTransfer will initiate a settlement to your User Bank Account in the amount you selected, less any applicable fees. Any fees charged by your bank are not the responsibility of XTransfer. The funds settled to your User Bank Account will not be returned to XTransfer unless the settlement was in error/ not completed.
d)Accessing Our Services
We will try to make sure our Services are available to you when you need them. However, we do not guarantee that our Services will always be available or be uninterrupted. We may suspend, withdraw, discontinue or change all or any part of our Service without prior notice. You are responsible for making all arrangements necessary for you to have access to our Services.
The XTransfer Services are provided “as is.” XTransfer and its Service Providers hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither XTransfer nor its Service Providers, makes any warranty that our Services will be error free or that access thereto will be continuous or uninterrupted. You understand that you use our Services, or otherwise obtain content, at your own discretion and risk.
6.Termination/Suspension
a)Your right to terminate service:
You may terminate your XTransfer Account with us at any time by giving us a 30 days’ notice period via the registered email contacting service@xtransfer.cn .
All provisions of this Agreement which by their nature should survive termination including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
b)Termination/suspension by XTransfer:
We reserve the right to terminate your XTransfter Account or any service associated with it.
We may at any time suspend or terminate your XTransfer Account without notice if:
  • i)you breach any provision of this Agreement or documents referred to in this Agreement;
  • ii)we have reason to believe you are in violation of any applicable law or regulation;
  • iii)we are requested or directed to do so by any competent court of law, government authority, public agency, or law enforcement agency;
  • iv)we have reason to believe you are involved in any fraudulent activity, money laundering, terrorism financing or other criminal and/or illegal activity.
  • v)we believe that your XTransfer Account has been compromised or for other security reasons; or we suspect your XTransfer Account has been used or is being used without your authorisation or fraudulently.
It is strictly forbidden to use the XTransfer Service for any illegal purposes including, but not limited to, fraud, bribery, money laundering or terrorism financing. You are prohibited from using the XTransfer Service in any attempt to abuse, exploit, or circumvent any law or regulation.
7.Fees
XTransfer discloses the prices on the XTransfer website and informs you via your XTransfer Account. The fees charged for XTransfer’s Services may be modified from time to time at XTransfer's discretion. XTransfer’s Service may also offer promotions in the form of refunds, discounted fees, or bonuses. If you have any questions or are unclear as to any fees, you should contact XTransfer customer support via service@xtransfer.cn.
The applicable fees will be deducted from your fund before settlement to your User Bank Account. XTransfer will provide a statement for the fees charged.
8.Complaints/Disputes
a)Complaints
If you have any complaints about us or our Services, you may contact us by sending emails to service@xtransfer.cn
We will do our best to address complaints submitted to service@xtransfer.cn in a timely manner.
b)Dispute
In the occurrence that a dispute leads to legal action, all legal action will be brought to the courts of Hong Kong.
9.Limitation of our liabilities
If we do not reasonably meet our commitments to you, we are responsible for loss or damage you suffer. We are not responsible for any loss or damage that is not foreseeable.
We do not exclude or limit in any way our liability to you where it would be unlawful to do so for example for fraudulent misrepresentation.
a)IT and infrastructure
We will not be liable for any loss or damage caused by a virus, or other technological attacks or harmful material that may infect your computer equipment, computer programs, data or other proprietary material related to your use of our Services.
We have no control over websites linked to and from our Website and so we assume no responsibility for their content or any loss or damage that may arise from your use of them.
In case of an unauthorised settlement or mistake due to our error, we shall at your request refund the amount including all fees deducted by us. This shall not apply:
  • i) if you do not quickly notify us of security issues on your XTransfer Account (e.g. loss of your password), you remain liable for losses incurred up to your notification to us via emergency number, which is published on our website;
  • ii) if the transaction was unauthorised but you have compromised the security of your XTransfer Account with intent or gross negligence, or the unauthorized settlement arises from your failure to keep the personalized security features of your XTransfer Account safe as described in this Agreement, in which cases you shall be solely liable for all losses, except as otherwise required by applicable laws/regulations in respective jurisdictions.
  • iii) if you don’t let us know about the unauthorised or incorrectly completed transaction within 6 months from the date when you sent your settlement request.
Section (i) above shall not apply to settlement requests made after you have notified us via emergency number, in which case we shall remain liable and compensate any unauthorised transaction to you.
In addition, we rely on you to regularly check the transactions history of your XTransfer Account and to contact customer support immediately in case you have any questions or concerns.
In the case of any incorrect or misdirected settlement, we will try to help you with tracing and recovering such settlement. We (and our affiliates) cannot be liable for our inability to deliver or delay as a result of things which are outside our control.
In the unlikely event of loss or claims or costs and expenses arising out of your breach of this Agreement, any applicable law or regulation and/or your use of our Services, you agree to compensate us and our affiliates and hold us harmless. This provision will continue after our relationship ends.
b)Partner related
XTransfer will not be liable for the loss or damage caused by any third party service providers.
10.Indemnification
You agree to indemnify and hold harmless XTransfer and its Service Providers and their respective directors, officers, employees, and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the XTransfer Services, including but not limited to your violation of this Agreement.
11.Privacy
Our primary purpose in collecting personal information is to provide you with a secure, smooth, efficient, and customized experience.
We, and our third party service providers, automatically collect your information about your use of our Website and our online Services through cookies, web beacons, and other technologies.
We may collect and store any information you provide us when you use our Services, including when you add information on a web form, add or update your account information, participate in dispute resolutions, or when you otherwise correspond with us regarding our Services.
We may share your information with third parties, including Service Providers, regulated institutions (e.g., financial institutions), affiliated entities, and partners after obtaining your consent at account opening.
Please refer to Privacy and Security Policy for details.
12.Changes / Modification
We may change this Agreement by giving you 30 days’ prior written notice via your registered email and published on our website. If we do this, you can terminate this Agreement immediately by providing written notice to us during the notice period. If we do not hear from you during the notice period, you will be considered as having accepted the proposed changes and they will apply to you from the date the change(s) comes into effect.
If you disagree with our changes, then you should not continue using the XTransfer Services after the designated notice period. Your continued use of our Services will be subject to the new terms. However, any dispute that arose before the changes shall be governed by the Terms that were in place when the dispute arose.
Changes to this Agreement which are (1) more favorable to you; (2) is required by law; or (3) relates to the addition of a new service or extra functionality to the existing Service; or (4) any other change which neither reduces your rights nor increase your responsibilities, will come into effect immediately if they are stated in the change notice.
